Terms of Service

These Terms of Service ("Terms") govern access to and use of the digital platform and database service operated under the brand Union.Estate, owned and operated by:

(hereinafter referred to as the "Company", "Union.Estate", or the "Platform"). By registering an account, purchasing a subscription, or accessing the Platform, the user ("Client", "Subscriber", "Agency", or "User") agrees to be legally bound by these Terms. The Platform provides a digital catalog and information system for the Cyprus primary real estate market, including but not limited to:

• property listings;
• developer project information;
• unit availability;
• pricing data;
• commission structures;
• marketing materials;
• exportable databases;
• communication and collaboration tools for real estate professionals.

The online service and database operated under the brand Union.Estate, including its website, databases, software infrastructure, exports, APIs, and digital tools.

Any individual agent, broker, agency, company, or legal entity subscribing to the Platform.

The selected paid access package purchased by the Client.

Any project information, listings, availability data, pricing, marketing files, presentations, documents, or materials accessible through the Platform.

Presentations, brochures, floor plans, PDFs, pricing sheets, renders, media files, and related materials provided through the Platform.

Union.Estate offers subscription-based access to its services.

The Platform may provide:

• property databases;

The Company reserves the right to add, remove, modify, suspend, or discontinue features at any time.

Subscriptions are billed monthly or annually in advance.

Annual subscriptions may include discounts of up to 15%.

All payments are non-refundable unless otherwise agreed in writing.

The Company may suspend access in case of failed or overdue payments.

Union.Estate reserves the right to modify subscription pricing with at least 30 days' notice.

The Client agrees not to:

• copy or resell the database without authorization;
• scrape or automate unauthorized extraction;
• redistribute platform exports publicly;
• share login credentials outside authorized users;
• misuse developer contacts;
• upload malicious software;
• violate applicable laws.

All information, data, materials, exports, contacts, pricing information, commission structures, marketing materials, and other content provided through any Union.Estate subscription plan are supplied exclusively for the Client's own internal business use in connection with their professional real estate activities. Such information may only be used by the subscribed real estate agency, its authorized employees, or the individual licensed agent associated with the subscription.

The Client is strictly prohibited from:

• sharing access credentials with third parties;
• transferring, sublicensing, renting, selling, or otherwise providing access to the Platform to any third party;
• sharing exported files, databases, developer contacts, pricing data, commission structures, marketing materials, or any other Platform content with individuals or companies not covered by the Client's subscription;
• reselling, distributing, or commercially exploiting any information obtained from Union.Estate without prior written consent from the Company.

If Union.Estate determines, at its sole discretion, that the Client has shared access, sold access, transferred data, distributed confidential information, or otherwise provided Platform content to third parties in violation of these Terms, the Company reserves the right to:

• immediately suspend or permanently terminate the Client's account;
• revoke access to all Platform services, databases, exports, and materials;
• terminate the business relationship without prior notice;
• retain all subscription fees already paid, with no refund or compensation.

The Client acknowledges and agrees that any such violation constitutes a material breach of these Terms.

All platform infrastructure, databases, exports, interface elements, branding, and software remain the exclusive property of EATSERV SOFT LIMITED.

Client-created selections and uploaded materials remain property of the Client.

The Client may not:

• reproduce the Platform commercially;
• sublicense access;
• create competing databases using exported data;
• redistribute substantial portions of the database.

The Platform strives to maintain accurate and updated information, including:

• pricing;
• availability;
• delivery dates;
• commissions;
• project statuses.

However, Union.Estate does not guarantee:

• absolute accuracy;
• uninterrupted access;
• completeness of third-party information.

The Company processes personal and commercial data in accordance with:

• GDPR;
• Cyprus data protection laws;
• applicable EU regulations.

The Platform implements reasonable technical and organizational security measures to protect data from:

• unauthorized access;
• misuse;
• disclosure;
• loss;
• destruction.

Both Parties agree to keep confidential:

• pricing structures;
• commissions;
• developer contacts;
• internal databases;
• exported files;
• business information.

This obligation survives termination for five (5) years.

To the maximum extent permitted by Cyprus law:

• Union.Estate is provided "as is";
• the Company is not liable for indirect or consequential damages;
• the Company is not responsible for losses arising from transactions between agents, agencies, developers, or clients.

Maximum liability of the Company shall not exceed the subscription fees paid by the Client during the previous 12 months.

The Company may suspend or terminate access immediately if:

• these Terms are violated;
• payment obligations are breached;
• unauthorized database use occurs;
• the Platform is used unlawfully.

The Client may cancel the subscription at any time, effective at the end of the billing period.

The Company shall not be liable for delays or failures caused by:

• natural disasters;
• governmental actions;
• internet failures;
• cyberattacks;
• infrastructure outages;
• third-party provider failures.

These Terms shall be governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.
